Terms of Service

1. Who we are

Worklyst is operated by Worklyst Ltd, a company registered in England and Wales (company number: [to be added]; registered office: [to be added]) ("Worklyst", "we", "us"). You can contact us at support@worklyst.co.uk.

These terms are a legal agreement between you and Worklyst Ltd covering your use of the Worklyst application at app.worklyst.co.uk and the worklyst.co.uk website (together, the "Service"). By creating an account or using the Service you agree to these terms.

2. What Worklyst is

Worklyst is software that helps sole traders and other one-person businesses run their working day: customer records, a diary, estimates, invoices, customer communications and payment tools. Worklyst is designed for business use. By creating an account you confirm you are at least 18 years old and are using the Service for business purposes, not as a consumer.

3. Your account

  • You must provide accurate information when creating your account and keep it up to date.
  • You are responsible for keeping your login credentials secure and for all activity under your account.
  • One account is intended for one business. You must not share an account between separate businesses.
  • Tell us immediately at support@worklyst.co.uk if you believe your account has been compromised.

4. Plans, pricing and billing

  • Worklyst Free is free of charge and includes the features described on our pricing page.
  • Worklyst Professional costs £19 per month (or the price shown at the time you subscribe) and is billed monthly in advance through our payment provider, Stripe.
  • You can cancel Professional at any time from Settings. Cancellation takes effect at the end of your current billing period; you keep Professional features until then. We do not offer partial refunds for unused time except where the law requires.
  • If a payment fails we may retry it and notify you. If payment continues to fail, your account may be moved to the Free plan. Your data is not deleted because of a downgrade.
  • We may change prices with at least 30 days' notice by email. The new price applies from your next billing period after the notice period.
  • Participants in promotional programmes (such as the founding partner programme) are also subject to the specific terms of that programme.

5. Payments to you from your customers

Worklyst includes tools that let your customers pay you by card. These payments are provided by Stripe through Stripe Connect. By setting up card payments you agree to the Stripe Connected Account Agreement and Stripe's terms.

  • Worklyst is software only. We are not a bank, payment institution or money transmitter, and we never hold, control or transmit your money. Card payments go directly from your customer to your Stripe account and then to your bank account.
  • Stripe's processing fees are set by Stripe and are separate from your Worklyst subscription.
  • Chargebacks, refunds and payment disputes are between you, your customer and Stripe. We may assist with information where we reasonably can, but we are not responsible for the outcome.
  • Stripe may require identity and business verification, and may suspend or close your payments account under its own terms. We are not responsible for Stripe's decisions.

6. Your customers and your contracts

Worklyst helps you manage work you do for your customers, but we are not a party to any contract between you and your customers. You are solely responsible for the work you carry out, the estimates and invoices you issue, the prices you charge, and complying with any laws that apply to your trade (including any consumer rights your customers may have against you).

The Service sends emails (such as booking confirmations, reminders, on-my-way updates, invoices and review requests) to your customers on your behalf and at your direction. You are responsible for having a lawful basis to contact your customers and for the accuracy of the information you send.

7. Your data

  • You own the data you put into Worklyst — your customer records, jobs, estimates, invoices, notes and photos ("Your Content").
  • You grant us a licence to host, store, back up, process and display Your Content solely to provide and improve the Service.
  • We handle personal data as described in our Privacy Policy. For personal data about your customers that you store in Worklyst, you are the controller and we act as your processor.
  • You are responsible for the accuracy and lawfulness of Your Content. You can export your records at any time using the Service's export tools.

8. Acceptable use

You must not use the Service to:

  • break the law, infringe anyone's rights, or send spam or unsolicited marketing;
  • misrepresent who you are or the business you operate;
  • process payments for goods or services that are unlawful or prohibited by Stripe's restricted business lists;
  • interfere with, overload, reverse engineer or attempt to gain unauthorised access to the Service;
  • resell or provide the Service to third parties as your own product.

9. Suspension and termination

  • You can stop using Worklyst and delete your account at any time by contacting support@worklyst.co.uk.
  • We may suspend or terminate your account if you materially breach these terms, misuse the Service, create fraud or security risk, or if we are required to by law. Where reasonable, we will warn you first and give you a chance to fix the problem.
  • If your account is closed, we will make your data available for export for 30 days after closure unless the law requires otherwise.

10. Availability and changes

We work hard to keep Worklyst available and reliable, but the Service is provided "as is" and we cannot guarantee it will always be uninterrupted or error-free. We may improve, change or discontinue features over time; if we make a change that materially reduces the Service you pay for, we will give you reasonable notice.

11. Liability

  • Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
  • Subject to that, we are not liable for: loss of profits, revenue, business or goodwill; business interruption; loss or corruption of data (beyond restoring from our routine backups); or any indirect or consequential loss.
  • Our total liability to you arising out of the Service in any 12-month period is limited to the amount you paid us for the Service in that period (or £100 if you are on the Free plan).
  • You agree to compensate us for losses, claims and costs we incur arising from your breach of these terms, your content, or your dealings with your customers.

12. Changes to these terms

We may update these terms from time to time. If a change is material we will give you at least 30 days' notice by email or in the app. If you continue to use the Service after the change takes effect, you accept the updated terms. If you do not agree, you may cancel before the change takes effect.

13. General

  • These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
  • If any part of these terms is found unenforceable, the rest remains in effect.
  • These terms, together with the Privacy Policy and any programme-specific terms, are the entire agreement between us regarding the Service.
